Common Questions
Frequently Asked Questions
What is a Florida Annual Report?
A Florida Annual Report is a mandatory filing required by the Florida Division of Corporations for every active LLC, corporation, and limited partnership. It updates the state with your current business information including officer names, addresses, and registered agent details. It is not a financial report — it is an informational update to keep your entity in good standing.
Who needs to file a Florida Annual Report?
Every Florida LLC, corporation (for-profit and nonprofit), and limited partnership registered with the Division of Corporations must file an Annual Report each year. This includes foreign entities (those formed outside Florida) that are authorized to do business in the state.
What is the deadline for filing?
The filing window opens January 1 each year and the deadline is May 1. Reports filed after May 1 are subject to a $400 late filing fee. If you fail to file by the third Friday in September, your entity may be administratively dissolved or revoked.
What happens if I file late or miss the deadline?
If you file after May 1, the Division of Corporations adds a $400 late fee on top of the standard filing fee. If you do not file at all by the third Friday in September, the state can administratively dissolve your LLC or revoke your corporation. Reinstatement requires additional fees and paperwork.
How much does it cost to file through FilingFlows?
Our service fee is $49, which includes expert review, same-day filing, compliance monitoring, and deadline reminders. The state filing fee ($138.75 for LLCs and $150 for corporations) is paid separately at the time of filing. There are no hidden fees.
How long does the filing take?
Once you provide your information and confirm the details, we file with the state the same business day. The Division of Corporations typically processes filings within minutes to a few hours. You will receive a confirmation as soon as the filing is accepted.
